Terms of Service

1. About Knaizen and these terms
Knaizen is a fleet telematics platform operated from Pakistan. References to "we", "us", "our", and "Knaizen" in these terms refer to Knaizen and its operators. References to "you" or "your" refer to the person or organization accessing the website at knaizen.com, the mobile applications, the API, or any other Knaizen service (together, the "Service").
By accessing or using the Service, you agree to be bound by these terms. If you do not agree, do not access or use the Service.
2. Development & testing phase — no commercial offer
Knaizen is currently in a development and testing phase. No commercial sale of the Service is in progress. The pricing published on knaizen.com/pricing describes what we plan to charge once the Service opens commercially, but nothing on this website constitutes a binding offer to sell during the beta.
Access to the Service during this phase is granted on an invitation or beta basis at our sole discretion. We may grant, refuse, modify, suspend, or revoke beta access at any time without notice and without liability to you. No payment is collected during this phase.
2A. Commercial terms (apply once a paid subscription is signed)
This section describes the commercial terms that will apply once you sign a paid subscription with Knaizen after the Service opens commercially. It does not apply during the beta phase described in Section 2.
Three-year term. Paid subscriptions are sold as a single three-year term. The per-vehicle price you sign at, including any volume rebate applied to your fleet size at signing, is locked for the full three-year term — no annual increases, no add-on creep, no extra charge for new features released during your term.
Annual billing. Fees are billed in three equal annual installments, payable in advance of each contract year, unless a different schedule is agreed in writing.
Volume rebate. The per-vehicle price is reduced based on your fleet size at signing: 1–5 vehicles at full price, 6–15 at −10%, 16–50 at −20%, 51+ at −30%. The rebate applies to your whole fleet and is set at the time of signing. It is recomputed against your then-current fleet size at renewal.
Mid-term additions. Additional vehicles added during the term are billed pro-rated to the remainder of the term, at the same per-vehicle rate you signed at, and renew aligned with the main contract.
Renewal. The subscription does not auto-renew. Before the end of each three-year term, Knaizen will contact you with a renewal offer at the per-vehicle rate corresponding to your then-current fleet size. The Service will continue only if you sign a new term.
Early termination. The three-year term represents a mutual commitment: Knaizen commits to deliver the Service at the locked price, and you commit to the term. Outstanding annual installments remain payable through the end of the term. Specific early-termination arrangements, if any, are governed by the signed order form.
3. Beta access — provided "as-is"
The Service is provided to beta participants strictly on an "AS-IS" and "AS-AVAILABLE" basis, without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.
You acknowledge that the Service may be incomplete, may contain defects, may produce inaccurate or incomplete results, and may be modified or discontinued at any time. You should not rely on the Service for safety-critical, life-critical, regulatory, or revenue-critical decisions during the beta phase.
4. Your account
To access most features of the Service, you must create an account through our identity provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@knaizen.com if you become aware of any unauthorized use of your account.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. The Service is intended for commercial fleet operators and is not directed to consumers or to children under 13.
5. Your data and content
You retain ownership of the data you upload, generate, or transmit through the Service — including vehicle telemetry, trip records, and tenant settings ("Your Data"). You grant Knaizen a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and otherwise use Your Data solely to provide the Service to you.
You are responsible for ensuring that you have the legal right to collect and process the data you submit to the Service — including, where applicable, drivers' consent to location and telematics monitoring under the laws that apply to you.
The handling, storage, and retention of Your Data is described in our Privacy Policy, which forms part of these terms.
6. Integration credentials and third-party platforms
The Service may allow you to integrate with third-party tracking platforms or services by providing API keys, passwords, or other credentials for those platforms ("Integration Credentials"). You represent and warrant that you have the right to use those credentials and to authorize Knaizen to use them on your behalf for the integration.
We store Integration Credentials encrypted at rest, never log them in plain text, use them only to perform the integration you requested, and delete them on request. You can request deletion of any Integration Credential by emailing support@knaizen.com.
Knaizen is not affiliated with, endorsed by, or sponsored by any third-party tracking platform. We disclaim all liability for the third party's response to your use of their platform through the Service — including, without limitation, account suspension, API throttling, fee changes, or changes to their terms of service. You are responsible for complying with the terms of service of any third-party platform whose credentials you provide.
7. IMEI and abuse-prevention data
To prevent abuse of any evaluation period, beta access, or other promotional access we may offer, the Service records and retains the International Mobile Equipment Identity (IMEI) of GPS tracking devices that connect to the Service, along with the cumulative time each IMEI has spent on free or evaluation access. This record is retained even after an account is closed or deleted, and may be used to deny re-enrollment of the same device into a future free or evaluation period.
You acknowledge and agree that IMEI is a hardware identifier of the tracking device, not a personal identifier of any individual driver or operator, and that we may retain this record for legitimate anti-abuse purposes notwithstanding account deletion.
8. Acceptable use
You agree not to use the Service:
- To track any person, vehicle, or asset without the legal right to do so;
- To conduct unauthorized surveillance of individuals;
- To violate any applicable law or regulation, including privacy, labor, telecommunications, or vehicle-tracking laws in your jurisdiction;
- To interfere with, disrupt, or circumvent the security or integrity of the Service;
- To attempt to access another tenant's data or the underlying infrastructure;
- To reverse-engineer, decompile, or extract the source code of the Service except where permitted by applicable law;
- To use the Service to build a competing product;
- To resell, sublicense, or redistribute the Service except as we expressly authorize in writing.
9. Hardware and connectivity
Knaizen is software-only. We do not sell, install, configure, or support GPS tracking hardware. You are responsible for sourcing your hardware, the SIM cards and cellular connectivity those devices require, and any installation or commissioning work.
We work with Teltonika tracker hardware and have tested integrations with widely-deployed Teltonika models. We do not warrant compatibility with any specific device, firmware, or cellular carrier.
10. Service availability and changes
We do our best to keep the Service available, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control. During the development and testing phase, we may significantly change, remove, or replace features at any time without notice.
11. Intellectual property
Knaizen, the Knaizen logo, the name "Knaizen", the product design, and the underlying software are owned by Knaizen and its operators. These terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal fleet operations during the beta phase. All rights not expressly granted are reserved.
All third-party trademarks, logos, and brand names referenced on the website, in the product, or in any Knaizen communication are the property of their respective owners. Mention of a third-party platform, tracker, or service does not imply any partnership, endorsement, or sponsorship.
12. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, the Service is provided without warranty of any kind. We disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, title, and quiet enjoyment.
To the maximum extent permitted by applicable law, in no event will Knaizen, its operators, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Service — whether based on contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total cumulative liability arising out of or related to these terms or the Service is limited to the greater of (a) the fees you have paid to Knaizen in the twelve (12) months preceding the event giving rise to the claim, or (b) zero, where no fees have been paid (as is the case during the development and testing phase).
13. Indemnification
You agree to defend, indemnify, and hold harmless Knaizen and its operators from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to (a) Your Data, (b) your use of the Service in violation of these terms, (c) your violation of any applicable law, or (d) your violation of any right of a third party — including, without limitation, the privacy rights of any driver or worker whose data is collected through the Service.
14. Governing law and disputes
These terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or the Service that cannot be resolved through good-faith negotiation will be submitted to the exclusive jurisdiction of the courts of Lahore, Pakistan.
Nothing in this section limits any non-waivable right you may have under the consumer protection laws of your country of residence.
15. Changes to these terms
We may update these terms from time to time. When we do, we will update the effective date at the top. Material changes will also be communicated by email to the address registered to your account, and (where it would be practical) by a notice on the dashboard. Continued use of the Service after the effective date of an updated version constitutes acceptance of the updated terms.
16. Termination
You may stop using the Service and close your account at any time by emailing support@knaizen.com. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe in good faith that you have violated these terms or are using the Service in a way that exposes us or other users to harm. Sections 5–7 and 11–14 survive termination.
